These terms are an agreement between you (or the company you represent) and memrelay. By creating an account or using the service, you agree to them.
memrelay is a hosted service that organizes a company's knowledge and makes it available to that company's AI tools and team members, with access controls and a governed write process. Features may evolve over time.
You must be at least 16 and able to enter into a contract. If you use memrelay on behalf of a company, you confirm you are authorized to bind that company to these terms. You are responsible for activity under your account and for keeping your access secure.
We may offer a free, read-only demo or trial. It is provided as-is for evaluation, may show only sample content, and may change or end at any time. Nothing in a demo is a commitment to a paid service level.
The knowledge you bring into memrelay stays yours. You grant us only the limited rights we need to host, process and display it back to you and the people you authorize, so we can provide the service. We do not use your content to train AI models, and memrelay makes no AI model calls of its own on the ingest, search or write path. Your content is stored as plain, versioned files and is exportable at any time.
You agree not to:
memrelay connects to tools you choose - for example your AI client (such as Claude or ChatGPT) and your sign-in provider (Google or Microsoft). Your use of those tools is governed by their own terms, and we are not responsible for them.
Paid plans are priced per company, not per seat. The fees, billing cycle and any free allowance are those shown when you sign up. Unless stated otherwise, fees do not include applicable taxes.
We work to keep memrelay available and reliable, but the service is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We do not guarantee uninterrupted or error-free operation. This does not exclude rights you have under mandatory consumer law.
To the extent permitted by law, neither party is liable for indirect, incidental or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.
Each party will protect the other's non-public information and use it only to perform under these terms. Your knowledge content is treated as your confidential information.
You can stop using memrelay at any time. Either party may end the agreement for material breach that is not cured within a reasonable period. On termination, your access ends and we delete or return your data per this agreement and applicable law. Because content is stored as plain, versioned files, you can export it before you leave - it stays yours.
We may update these terms. If a change is material, we will update the date above and, where appropriate, notify you. Continuing to use memrelay after a change means you accept the updated terms.
We operate in the European Union, and these terms follow applicable EU law. Nothing here affects mandatory consumer protections in your country of residence.
